MOST RESPECTFULLY SHOWETH:-

Neither an independent nor an impartial arbitrator in terms of Schedule-V and Schedule-VII read with Section 12 of the Arbitration and Conciliation Act, 1996 (as amended up to date) has been found; therefore, the Petitioner proposes that the Delhi International Arbitration Centre be approached for the appointment of a Sole Arbitrator to conduct the present arbitration proceedings, as the arbitrator appointed by the Petitioner has been objected to by the Respondents. |
| 7. | Qualification required, if any, of the arbitrator by the agreement of the parties. | N/A |
| 8. | Whether the Petitioner is satisfied that the conditions to be satisfied under Section 11(5) of the Arbitration and Conciliation Act, 1996 have been fulfilled before making the instant request for appointment of the arbitrator? | Yes. |
| 9. | A brief written statement describing the general nature of the disputes and the points at issue. | As under:- |
1.That the Petitioner is a private limited company registered under the Companies Act, 1956, having its office at Petitioner's registered office address. The Company, inter alia, is engaged in the business of Nature of the Petitioner's business. Owing to its distinguished working style and transparency, the Petitioner has earned a commendable reputation not only in the State of Delhi but across the entire country and is a revered name in the industry.
2.That, as per the information available on the web portal of the Ministry of Corporate Affairs, Respondent 1's name, i.e., Respondent No. 1, is a Limited Liability Partnership (LLP) based out of Location where Respondent 1 is based, which was officially incorporated on Date of incorporation of Respondent 1. That Respondent 2's name, Respondent No. 2, and Respondent 3's name, Respondent No. 3, are the two Partners of Respondent No. 1 who are responsible for its day-to-day operations.
3.That, after considerable negotiations between the parties, the Respondents were pleased to issue the Work Order dated Work Order date (hereinafter referred to as the "WO"), thereby awarding the project at Location of the project site for the construction of a warehouse building with materials (excluding concrete and steel) for the site situated at Name of the project site, Location of the project site, in favour of the Petitioner, in accordance with the terms and conditions mentioned and agreed upon therein. The Petitioner has been under extreme mental pressure and anxiety owing to the Respondents' misconduct, high-handedness and improper dealings in relation to the WO.
4.That the Respondents are responsible for the day-to-day affairs of Respondent 1's name, and it was therefore their duty to adhere to and comply with all the terms and conditions of the WO in letter and spirit, as signed between the parties.
5.That the aforesaid final WO was sent and shared with the Petitioner via email on Date the WO was shared by email, whereas the hard copy of the same was collected from the Respondents' office on Date the WO hard copy was collected. Thereafter, a hard copy of the said WO was signed by the Petitioner on the same day and was sent back to the Respondents on Date the signed WO was sent back.
6.That several emails have been exchanged between the parties, wherein the Respondents have admitted the fact that the project land was not demarcated until mid-Month the WO was prepared, and accordingly, actual physical possession of the project land was handed over to the Petitioner only on Date possession of project land was handed over, i.e., the date on which the WO was finally signed by the Petitioner and handed over to the Respondents.
7.That, even though the WO was prepared by mutual consent in the month of Month the WO was prepared, the Respondents were unable to obtain the requisite clearances and demarcation within the agreed-upon time period. There was thus a delay at their end in handing over possession of the project site to the Petitioner until the end of Month possession of the project site was handed over.
8.That, as per the terms and conditions of the WO, the agreed-upon time period within which the construction was to be completed at the project land was Total stipulated completion period, i.e., Initial stipulated period under the WO as the initial stipulated time under the WO, and thereafter a grace period of a further Grace period under the WO.
9.That, accordingly, the stipulated time period of Total stipulated completion period was to expire on Date the stipulated period was to expire; however, to the Petitioner's complete shock and dismay, an illegal termination letter was served upon the Petitioner on Date of the termination letter. That the said termination letter dated Date of the termination letter is wholly flawed, as it has been issued without any reasonable grounds for such termination. The Petitioner issued a detailed reply to the said termination letter on Date of reply to the termination letter, to which the Respondents have neither paid any heed nor bothered to respond till date.
10.That, moreover, as the Respondents are also aware, a ban imposed by the National Green Tribunal (NGT) applied to all construction sites in Delhi, which continued and was extended for a period of Duration of the NGT ban in days, owing to which no construction work could be carried out. Therefore, in the calculation of the time period within which the project was to be completed, this period of Duration of the NGT ban in days has to be added over and above the period of Total stipulated completion period.
11.That, additionally, there has been a delay and stoppage of work of Duration of work stoppage in days owing to Authority whose work caused the blockage work being carried out right outside the project site, because of which the Petitioner was unable to bring its machines and raw materials to the site in order to carry out the construction work. Several communications via emails and WhatsApp chats have been exchanged between the parties, wherein the Respondents have accepted the fact that the entry to the project site was blocked, and accordingly the Respondents had sought time to resolve the said issue with Authority whose work caused the blockage. As per the terms and conditions contained in the WO, access to the project site was the responsibility of the Respondents, and any hindrance in the execution of the scope as per the WO has to be accounted for, entitling the Petitioner to an extension of the very same number of days.
12.That the Respondents were also made aware that there was a delay of approximately Delay due to concrete shortage (in days) owing to a shortage of concrete. The said shortage occurred on account of the Respondents' negligence, since it was their duty and responsibility under the Work Order to supply concrete to the Petitioner at the project site. This fact is recorded and is evident from various emails and WhatsApp chats, in which the Respondents admitted the shortage and the delay in supplying concrete to the Petitioner.
13.Further, in terms of the conditions contained in the Work Order, it was the Respondents' duty to provide the drawings of the PT Beam and the boundary walls, which were to be installed and constructed at the project site. There was a delay of more than one month, as the Respondents failed to provide the said drawings within the agreed timelines. This fact is evident and established from the most recent drawing, which was sent by the Respondents only on Date the most recent drawing was sent, i.e., Days between drawing sent and termination letter days prior to the issuance of the termination letter dated Date of the termination letter, thereby demonstrating the mala fide, irresponsible intention and conduct of the Respondents, calculated to cause grave loss to the Petitioner.
14.That if the aforesaid delays — namely, the NOT ban, the inordinate delay attributable to the Respondents on account of the missing drawings, the shortage of concrete, and the restricted entry to the project site — are calculated and accounted for, the Petitioner is legally bound and entitled to an additional Additional days of extension entitled for the completion of the work at the project site, which automatically extends the project completion date to Extended project completion date. The aforesaid delays and the extension of the time period have been recorded in various communications between the parties through emails and WhatsApp chats, wherein the Respondents have also admitted their fault and have, time and again, sought time to rectify the issues raised by the Petitioner.
15.That the negligent and irresponsible conduct of the Respondents has caused grave financial loss and mental harassment to the Petitioner. Even so, on account of the long-standing mutual regard between the parties, the Petitioner attempted to resolve these issues amicably; however, the Respondents failed to show any genuine interest in settling the outstanding claims payable to the Petitioner.
16.That even after the Respondents illegally terminated the Work Order, thereby causing grave financial loss to the Petitioner, the Petitioner endeavoured to resolve the dispute amicably and accordingly shared the detailed claim with the Respondents through email, and also handed over a hard copy of the claim/dues to their staff, together with all supporting data and details.
17.However, to the Petitioner's utmost surprise, the Respondents, after a period of one month, raised a baseless counter-claim which is contrary to the Work Order signed between the parties. This illegal and unsubstantiated counter-claim raised by the Respondents proves their mala fide intentions of not settling the legitimate claims raised by the Petitioner on amicable terms, and further demonstrates their ill intent to defraud the Petitioner and to cause further financial hardship and loss to the Petitioner.
18.That the Petitioner has attempted to engage with the Respondents in respect of the disagreements and disputes which the Respondents themselves have created; however, all efforts of the Petitioner have failed, as the Respondents have refused to cooperate in settling the legitimate claims and disputes raised by the Petitioner.
19.That the Petitioner is left with no other option but to invoke the arbitration clause stipulated in the Work Order, so as to recover the dues which the Respondents have conveniently withheld and refused to pay to the Petitioner, thereby causing grave financial loss to the Petitioner.
20.That by way of the legal notice dated Date of legal notice invoking arbitration, issued in terms of the Work Order on account of the gross violation and breach of its terms, the Petitioner invoked arbitration. The Work Order contained an Arbitration Clause. The relevant extract of the Arbitration Clause of the Work Order applicable to the present case is reproduced herein below for ready reference:
"Text of arbitration clause quoted"
21.The process provided under the said clause now stands exhausted on account of the Respondents' lack of cooperation, and the said clause has been invoked by the Petitioner by way of the notice dated Date of legal notice invoking arbitration, whereby the Respondents were requested to suggest and share 03 (three) independent names of arbitrators, within a period of Period given to suggest arbitrator names (days) from receipt of the said notice, for adjudication of the dispute in terms of the Work Order.
22.That it is pertinent to mention that on Date of legal notice invoking arbitration, the Petitioner served upon the Respondents the notice of invocation of the arbitration clause under the Work Order dated Work Order date. It is trite to note that the Respondents did not bother to reply to the said arbitration notice, despite the fact that the same was duly received by them. By such conduct, it is evident that the Respondents are not only in breach of their contractual mandate but also show disrespect to the rule of law, their sole objective being to delay the resolution of the present dispute between the parties.
23.That the Petitioner has been compelled to invoke the arbitration clause, which was incorporated precisely to resolve such disputes and to facilitate the settlement of matters arising between the parties in relation to the agreement, as narrated above. Without prejudice, the Petitioner is in the process of assessing and quantifying the actual damage/loss suffered, and therefore seeks liberty to quantify, assess and file the same before the Arbitral Tribunal as and when appointed; however, a preliminary estimate of the damages/loss suffered by the Petitioner has been narrated above.
24.That the Petitioner has not filed any such or similar petition either before this Hon'ble High Court or before the Hon'ble Supreme Court of India, and no such petition is pending between the parties, nor has any such petition been filed or decided by any competent court of law. This is the first petition under Section 11 of the Arbitration and Conciliation Act, 1996 before this Hon'ble Court.
25.That the parties to the petition are operating and residing at City where parties operate and reside, and the subject property is situated at City where subject property is situated; therefore, this Hon'ble Court has territorial and pecuniary jurisdiction to entertain and maintain the present petition.
26.That the documents filed with the petition are true copies of their originals.
27.Valuation of the subject matter:
Approximately ₹Valuation of claim (₹ lakhs) Lakhs, with interest at Rate of interest (%)% per annum from the due date until the date of realisation of payment.
P R A Y E R
In view of the submissions made above, it is, therefore, most respectfully prayed that this Hon'ble Court may be pleased to:
(a)Appoint a Sole Arbitrator under Section 11(6) of the Arbitration and Conciliation Act, 1996 to adjudicate and decide the disputes between the parties;
(b)Award the costs of the petition in favour of the Petitioner and against the Respondents;
(c)Pass such other and further orders as this Hon'ble Court may deem fit and proper in the circumstances of the case.
It is, therefore, most respectfully prayed accordingly.
