A. Board approval is not required for the following transactions: 1. sales of securities to be registered with the Securities and Exchange Commission and sold pursuant to an underwriters' agreement; 2. private placement offerings with registration rights under Rule 144A and Regulation S promulgated by the Securities and Exchange Commission and sold pursuant to a purchase agreement with initial purchasers. B. For transactions made pursuant to this Subsection, the initial notice required by §2523 shall be provided no less than 10 calendar days prior to the proposed offering. Additionally, the following documents shall be provided, if applicable: 1. copy of the final registration statement approved by the Securities Exchange Commission; 2. copy of the underwriters’ agreement or purchase agreement; 3. copy of the indenture; 4. copy of the offering memorandum; 5. copy of the registration rights agreement; 6. a report 45 days after completion of sale providing amounts of securities sold and identities of underwriters or initial purchasers; and 7. any other documents which may be requested by the board or division.
