LAC 46:LXVI.305. Meetings of the Board

A. As required by R.S. 37:3205(B), the board shall meet at least every three months and at such other times as may be necessary. The quarterly meetings of the board shall be held in January, April, July and October. The annual meeting shall be in July.
B. The chairman of the board shall have the authority to call other meetings of the board to carry out the business of the board, provided that written notice of such meetings be mailed or emailed to the last known address of all members of the board at least 15 days before such meeting.
C. A majority of the board constitutes a quorum. No action may be taken by the board except by affirmative vote of the majority of the members present and voting. All votes shall be viva voce and shall be recorded in the minutes. No proxies shall be allowed.
D. At all regular quarterly meetings the chairman and the secretary-treasurer shall each submit a report to the board.
E. The fiscal year of the board shall run concurrent with that of the state of Louisiana.
