Articles of amendment

An LLC amending its articles shall deliver to the secretary of state for filing articles of amendment setting forth: (1) The name of the LLC; (2) The text of each amendment adopted; (3) The date of each amendment's adoption; (4) If an amendment was duly adopted by the board of governors without member action, a statement to that effect and that member action was not required; and (5) If an amendment was duly adopted by the members, a statement to that effect.
