Presumption of Assent

Presumption of Assent. A member who is present at a meeting of the Board at which action is taken on any matter shall be presumed to have assented to the action taken unless: (1) Such member objects at the beginning of the meeting (or promptly upon such member’s arrival) to holding or transacting business at the meeting; (2) Such Member’s dissent or abstention from the action taken is entered in the minutes of the meeting; or (3) Such Member delivers written notice of such Member’s dissent or abstention to the presiding officer of the meeting immediately after the adjournment of the meeting.
